Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between HE TRADE LLC, a New Jersey limited liability company ("Company", "we", "us", "our"), and any individual or entity ("User", "you", "your") who accesses or uses the BeeAgent platform available at getbeeagent.com ("Platform").

By creating an account, accessing, or using the Platform in any way, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform.

These Terms apply to all versions of the Platform, including web, mobile, and any future applications or services offered by HE TRADE LLC under the BeeAgent brand.

2.1 Age Requirement

You must be at least 18 years of age to create an account or use the Platform. By agreeing to these Terms, you represent and warrant that you are 18 years of age or older.

2.2 Legal Capacity

If you are using the Platform on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms, and all references to "you" shall refer to that entity.

2.3 Geographic Restrictions

The Platform is operated from New Jersey, USA. We make no representations that the Platform is appropriate or available for use in all locations. Users who access the Platform from outside the United States do so at their own initiative and are responsible for compliance with applicable local laws.

BeeAgent is an AI-powered software-as-a-service (SaaS) platform designed for beekeepers. The Platform provides the following features:

• Weekly AI-generated beekeeping analysis and personalized action plans

• Hive health score calculation (0–100 scale) with color-coded alerts

• Voice note recording and AI transcription in 19+ languages

• Google Calendar integration for task synchronization

• Weather forecast and flora calendar-based recommendations

• Harvest and migration management tools

• Regional beekeeping intelligence based on anonymized community data

You should not rely solely on the Platform's output for beekeeping decisions. Always exercise your own judgment and consult qualified professionals when appropriate.

We reserve the right to modify, add, or remove features at any time with reasonable notice to users.

4.1 Account Creation

To access most features of the Platform, you must register for an account by providing a valid email address, full name, and password. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

4.2 One Account Per User

Each user may maintain only one account. Creating duplicate accounts, sharing accounts with multiple users, or using accounts to circumvent restrictions is prohibited.

4.3 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to:

• Use a strong, unique password for your account.

• Not share your login credentials with any third party.

• Notify us immediately at legal@getbeeagent.com if you suspect unauthorized access to your account.

We will not be liable for any loss or damage arising from your failure to protect your login credentials.

4.4 Non-Transferability

Your account is personal to you and may not be transferred, sold, or assigned to any other person or entity without our prior written consent.

5.1 Subscription Plans

The Platform is offered under the following subscription tiers:

• **Free Trial**: 14-day access to core features at no cost; no credit card required to begin.

• **Pro Plan**: Monthly or annual recurring subscription with access to advanced features.

• **Commercial Plan**: Monthly or annual recurring subscription for professional/commercial use with full feature access.

Detailed plan features and current pricing are displayed on the Platform's pricing page and may be updated from time to time.

5.2 Payment Processing

All subscription payments are processed by Stripe, Inc., a PCI DSS-compliant payment provider. By providing your payment information, you authorize HE TRADE LLC to charge the applicable fees to your selected payment method. HE TRADE LLC does not store your full credit card number, CVV, or expiration date on its servers.

5.3 Recurring Billing

Paid subscriptions renew automatically at the end of each billing period (monthly or annual) at the then-current subscription rate. You authorize us to charge your payment method on file for each renewal period until you cancel.

5.4 Cancellation

You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of the current billing period. You will continue to have access to paid features until the end of the period for which you have paid. No partial refunds are issued for unused time within a billing period.

5.5 Refund Policy

Subscription fees are generally non-refundable. At our sole discretion, we may issue a full refund if a cancellation request is submitted within 7 days of the initial subscription date and you have not made significant use of the paid features. To request a refund, contact legal@getbeeagent.com.

5.6 Price Changes

We reserve the right to change subscription pricing at any time. We will provide at least 30 days' advance written notice of any price increase to your registered email address. Your continued use of the Platform after the price change takes effect constitutes your acceptance of the new pricing. If you do not agree to a price increase, you must cancel your subscription before the new price takes effect.

5.7 Taxes

Stated prices do not include applicable federal, state, or local taxes. Where required by law, applicable taxes will be added to your invoice.

5.8 Failed Payments

If a payment fails, we will notify you and may suspend your access to paid features until payment is received. Repeated failed payments may result in account termination pursuant to Section 11.

You agree to use the Platform only for lawful purposes and in accordance with these Terms. The following activities are strictly prohibited:

1. Security Violations: Attempting to probe, scan, or test the vulnerability of the Platform or breach any security or authentication measures.

2. Automated Abuse: Using bots, scrapers, or automated scripts to access the Platform in a manner that exceeds normal human usage or degrades Platform performance for other users.

3. Illegal Content: Uploading, transmitting, or storing any content that violates applicable law, infringes third-party rights, or contains malicious code.

4. Impersonation: Creating fake accounts, impersonating any person or entity, or misrepresenting your affiliation with any person or entity.

5. Unauthorized Commercial Use: Reselling, sublicensing, or distributing Platform content, AI-generated reports, or analyses for commercial purposes without our express written consent.

6. Reverse Engineering: Decompiling, disassembling, or reverse engineering any part of the Platform for the purpose of building a competing product or service.

7. Interference: Interfering with or disrupting the integrity or performance of the Platform or the data contained therein.

8. Data Mining: Collecting or harvesting any personally identifiable information from the Platform without authorization.

Violation of this Section may result in immediate account suspension or termination without notice and, where appropriate, referral to law enforcement.

7.1 Our Intellectual Property

The Platform and all of its contents — including but not limited to software code, algorithms, user interface designs, graphics, logos, trademarks, service marks, and AI-generated outputs produced by our systems — are the exclusive property of HE TRADE LLC or our licensors and are protected by U.S. and international copyright, trademark, patent, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal or internal business beekeeping purposes. This license does not include the right to sublicense, modify, copy, distribute, sell, or create derivative works from any portion of the Platform.

7.2 Your Data

You retain full ownership of all beekeeping data, hive notes, voice recordings, and other content you submit to the Platform ("User Content"). By submitting User Content, you grant HE TRADE LLC a limited, worldwide, royalty-free license to use, process, store, and transmit your User Content solely to provide the services you have requested. We do not claim ownership of your data.

We may use aggregated, anonymized, and de-identified data derived from user activity on the Platform for service improvement and analytics purposes. This data will not identify you individually.

7.3 Feedback

If you provide suggestions, ideas, or feedback regarding the Platform ("Feedback"), you grant HE TRADE LLC a perpetual, irrevocable, royalty-free, worldwide license to use and incorporate such Feedback into the Platform or any future products without any obligation to you.

7.4 DMCA

We respect intellectual property rights. If you believe that content on the Platform infringes your copyright, please send a notice complying with the Digital Millennium Copyright Act (DMCA) to legal@getbeeagent.com.

8.1 Nature of AI Outputs

The Platform uses artificial intelligence, including large language models, to generate beekeeping analyses, health scores, recommendations, and action plans. These outputs are produced algorithmically and do not represent the advice of a licensed veterinarian, agronomist, or any other certified professional.

8.2 No Professional Advice

Nothing on the Platform constitutes professional veterinary, agricultural, financial, or legal advice. You should not make significant beekeeping, commercial, or financial decisions based solely on AI-generated outputs from the Platform. Always consult appropriately licensed professionals for matters requiring expert judgment.

8.3 Accuracy Limitations

AI systems may produce outputs that are inaccurate, incomplete, outdated, or inappropriate for your specific situation. Weather data, regional flora calendars, and community data are sourced from third-party providers and may contain errors. HE TRADE LLC makes no representations or warranties regarding the accuracy, reliability, completeness, or timeliness of any AI-generated content.

8.4 User Responsibility

You assume full responsibility for how you use AI-generated outputs from the Platform. HE TRADE LLC shall not be liable for any losses, damages, or harm to your hives, colony health, harvest, or business resulting from reliance on Platform-generated recommendations.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HE TRADE LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;

• ANY WARRANTY THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;

• ANY WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT, DATA, OR AI-GENERATED OUTPUT ON THE PLATFORM.

No advice or information, whether oral or written, obtained from HE TRADE LLC or through the Platform will create any warranty not expressly stated in these Terms.

Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the above exclusions apply to the fullest extent permitted by applicable law.

10.1 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HE TRADE LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;

• LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL;

• LOSS OR DAMAGE TO BEES, HIVES, OR AGRICULTURAL PROPERTY;

• COST OF SUBSTITUTE GOODS OR SERVICES;

ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HE TRADE LLC'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT OF SUBSCRIPTION FEES PAID BY YOU TO HE TRADE LLC IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50.00).

10.3 Third-Party Services

HE TRADE LLC is not responsible for failures, outages, errors, or data loss attributable to Stripe, Google, Supabase, Anthropic, Vercel, Railway, or any other third-party service provider used to operate the Platform.

10.4 Basis of the Bargain

You acknowledge that the limitations of liability set forth in this Section are fundamental elements of the basis of the bargain between HE TRADE LLC and you. The Platform would not be provided without such limitations.

You agree to defend, indemnify, and hold harmless HE TRADE LLC and its members, managers, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

1. Your use of or access to the Platform in violation of these Terms;

2. Your violation of any applicable law, regulation, or third-party right;

3. Any User Content you submit, post, or transmit through the Platform;

4. Your reliance on AI-generated outputs from the Platform in a manner that causes harm.

HE TRADE LLC reserves the right, at its own expense, to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claims.

12.1 No Uptime Guarantee

HE TRADE LLC does not guarantee that the Platform will be available at all times, uninterrupted, or error-free. Scheduled maintenance windows will be announced in advance where practicable; however, we reserve the right to perform emergency maintenance at any time without prior notice.

12.2 Modifications to the Platform

We reserve the right to modify, suspend, or discontinue any part of the Platform — including features, pricing tiers, or the Platform as a whole — at any time. For material changes that substantially reduce the functionality of a paid subscription, we will provide reasonable advance notice. In the event of full Platform discontinuation, paid subscribers will receive a pro-rated refund for the unused portion of their current billing period.

12.3 Beta Features

Features designated as "beta" or "experimental" are provided without warranty and may be modified or removed at any time without notice.

13.1 Termination by You

You may close your account at any time from your account settings. Upon cancellation, your access to paid features will continue until the end of the current billing period. Account closure does not relieve you of any outstanding payment obligations.

13.2 Termination by HE TRADE LLC

We reserve the right to suspend or permanently terminate your account, with or without notice, if:

• You breach any provision of these Terms;

• You engage in fraudulent, abusive, or illegal activity on the Platform;

• Your payment method fails and is not remedied within a reasonable time;

• We determine, in our sole discretion, that your continued use poses a risk to other users or the Platform.

We will provide notice of termination where feasible, but are not obligated to do so in cases of serious violations or fraud.

13.3 Effect of Termination

Upon termination of your account for any reason:

• Your license to use the Platform immediately ceases.

• All User Content associated with your account will be permanently deleted within 30 days, except as required to be retained by applicable law (e.g., financial records).

• Provisions of these Terms that by their nature should survive termination — including Sections 7, 8, 9, 10, 11, and 14 — shall survive.

14.1 Governing Law

These Terms and any dispute arising out of or related to the Platform or these Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, USA, without regard to its conflict of law provisions.

14.2 Informal Resolution

Before filing any formal legal claim, you agree to first attempt to resolve the dispute informally by contacting us at legal@getbeeagent.com with a written description of the dispute. We will attempt to resolve the dispute within 30 days of receiving your notice.

14.3 Binding Arbitration

If the dispute is not resolved informally within 30 days, both parties agree that any claim, controversy, or dispute arising out of or relating to these Terms or the Platform shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court. The arbitration shall take place in New Jersey, USA, or via remote hearing.

14.4 Class Action Waiver

YOU AND HE TRADE LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

14.5 Small Claims Exception

Notwithstanding the foregoing, either party may bring an individual action in a New Jersey small claims court for disputes within that court's jurisdictional limits.

14.6 Jury Trial Waiver

TO THE EXTENT PERMITTED BY LAW, YOU AND HE TRADE LLC EACH WAIVE THE RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING FROM OR RELATED TO THESE TERMS.

14.7 Time Limitation

Any claim arising from or related to these Terms must be filed within one (1) year after the cause of action accrues; otherwise the claim is permanently barred.

15.1 Amendments

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' advance notice by email to your registered address and/or by posting a prominent notice on the Platform. Your continued use of the Platform after the effective date of the revised Terms constitutes acceptance. If you do not agree to the amended Terms, you must stop using the Platform and cancel your account.

15.2 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and HE TRADE LLC with respect to the Platform and supersede all prior or contemporaneous understandings, representations, and agreements.

15.3 Severability

If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

15.4 Waiver

Our failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of HE TRADE LLC.

15.5 Assignment

You may not assign or transfer any rights or obligations under these Terms without our prior written consent. HE TRADE LLC may freely assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets, with notice to you.

15.6 Force Majeure

HE TRADE LLC shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, third-party service provider outages, or failures of the public internet.

15.7 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

15.8 Notices

Notices from HE TRADE LLC to you will be delivered to your registered email address. Notices from you to HE TRADE LLC must be sent to legal@getbeeagent.com and are effective upon confirmation of receipt.
